Все подводные камни российско-кипрского налогообложения, новые требования к сабстенс в России и «местный» закон о КИК для граждан и резидентов Кипра эксперты обсудили в рамках третьей сессии ежегодной конференции Best Legal.

Практические аспекты применения налогового законодательства в России и на Кипре обсудили три эксперта: налоговый консультант Михаил Соболев, управляющий директор Andreas Menelaou LLC Андреас Менелау и управляющий партнер компании «Корпус Права» Артём Палеев. Эта тематическая сессия главном образом касалась законов о контролируемых иностранных компаниях и прошла на русском языке. На финальной дискуссии к участникам присоединились заместитель председателя Российско-кипрского делового совета Сергей Хрусталёв и заместитель генерального директора кипрского агентства Invest Cyprus Мариос Таннусис.

О применение российско-кипрского налогового соглашения и возможных рисках рассказал налоговый консультант Михаил Соболев: «Если компания работает за границей, платит налоги, после чего отправляет прибыль бенефициарам, то она должна заплатить налоги как в России, так и на Кипре. Но если изучить налоговый кодекс, понимаешь, что дважды платить налог не нужно. Все зависит от того, пассивная ваша компания или нет, и каков размер прибыли».

Актуальная судебная практика, позиция налоговых органов и способы обоснования фактического получателя дохода стали темой выступления управляющего партнера компании «Корпус Права» Артёма Палеева. Он поделился своим мнением о кипрских бизнес-реалиях: «Кипр, конечно, привлекательное направление для бизнеса, но расслабляться не стоит, тем более, если будет увеличена ставка корпоративного налога до 15%. Кроме того, за последние годы стоимость присутствия компании на Кипре увеличилась уже в 10 раз, а преимущества при этом остались прежними. А это значит, что и масштабы бизнеса изменились, присутствие на Кипре могут потянуть только компании из среднего и крупного бизнеса».

По итогам разгорелась дискуссия про взаимодействие бизнеса с кипрскими банками. Гости единодушно пожаловались на тяжелые условия работы, когда дело доходит до банковских услуг.

Управляющий директор Andreas Menelaou LLC Андреас Менелау заметил: «Кипр — отличное место для бизнеса, здесь хорошая инфраструктура, условия для работы и даже климат. Но нельзя забывать и о проблемах — это банки. Правительство страны тратит много сил и средств на продвижение инвестиционных программ Кипра, но как только ты пытаешься просто открыть банковский счет, то сразу сталкиваешься с десятком трудностей».

Заместитель председателя Российско-кипрского делового совета Сергей Хрусталёв добавил: «Это действительно так, тема банков злободневная. Доходит до абсурда — даже состоятельные люди, пытающиеся открыть банковский счет на Кипре, вынуждены очень долго собирать все необходимые документы, чтобы показать источник своих денег. Это проблема, которую нужно решать, потому что из-за этого компании начинают уходить с острова — последняя статистика говорит о том, что на 13% снизилось количество регистраций новых компаний с российскими бенефициарами».

Заместитель генерального директора кипрского агентства Invest Cyprus Мариос Таннусис успокоил присутствующих: «Более 30 кипрских банков, которые имеют лицензию Центрального Банка Кипра, ежедневно работают над своей эффективностью и ускорением всех процессов. Нельзя забывать, что вместе с этим перед ними стоит задача помогать Кипру стать прозрачной юрисдикцией, они также отчитываются перед надзорными органами, поэтому должны быть осторожными, знать каждого клиента и тщательно его проверять. Мы знаем о жалобах, о сложностях с открытием счетов. Поэтому мы делаем все, что возможно, чтобы исправить ситуацию и помочь бизнесу».

    1            Application of terms

    You means you or, if clause 1.1b applies, both you and the other person on whose behalf you are acting.

     

    4            Your obligations

    information remains true, current and complete.

    a not act in a way, or use or introduce anything (including any virus, worm, Trojan horse, timebomb, keystroke logger, spyware or other similar feature) that in any way compromises, or may compromise, the Website or any Underlying System, or otherwise attempt to damage or interfere with the Website or any Underlying System; and

    Each party submits to the non-exclusive jurisdiction of the Courts of the Republic of Cyprus in relation to any dispute connected with these Terms or the

    10.3      For us to waive a right under these Terms, the waiver must be in writing.

    10.4      Clauses which, by their nature, are intended to survive termination of these Terms, including clauses 5, 6, 7, 10.1, continue in force.

    10.5      If any part or provision of these Terms is or becomes illegal, unenforceable, or invalid, that part or provision is deemed to be modified to the extent

    required to remedy the illegality, unenforceability or invalidity. If a modification is not possible, the part or provision must be treated for all purposes as

    severed from these Terms. The remainder of these Terms will be binding on you.

    10.6      These Terms set out everything agreed by the parties relating to your use of the Website and supersede and cancel anything discussed, exchanged or

    agreed prior to you agreeing to these Terms. The parties have not relied on any representation, warranty or agreement relating to the Website that is not

    expressly set out in the Terms, and no such representation, warranty or agreement has any effect from the date you agreed to these Terms.
